Compliance Manager

Join us as a Compliance Manager, where you’ll take charge of legal filings, regulatory governance, and contract management while ensuring the organisation stays fully audit-ready and compliant across all jurisdictions. Roles & Responsibilities
Your main responsibilities will include:

  • Handle secretarial and statutory filings under the Indian Companies Act, rules and allied regulations — e.g., AOC‐4, MGT‐7, PAS‐3, DIR‐3 KYC, etc.
  • Maintain and update cap tables, shareholder registers, ESOP registers, fixed assets registers, trademark records and other statutory registers.
  • Review, draft, negotiate (where required) and maintain key agreements including property leases, vendor contracts, investor agreements, MoUs, legal notices and other business‐contracts.
  • Coordinate with external legal counsel on litigation matters, dispute resolution, statutory/regulatory filings and representation as required.
  • Ensure compliance across the parent company and any foreign subsidiaries—this includes RBI / FEMA compliance, FC‐GPR/FLA filings, foreign entity filings, etc.
  • Build and maintain structured data‐rooms, documentation trackers, policy registers (e.g., vendor policy, ESOP policy, IT/privacy policy) and ensure version control and audit readiness.
  • Liaise with the Company Secretary (if any), statutory auditors, internal auditors and external advisors to support audit, secretarial, compliance and governance matters.
  • Develop and manage a compliance calendar/tracker to ensure no deadline is missed; escalate potential gaps proactively.
  • Provide regular reporting (monthly/quarterly) to the CFO and senior leadership on compliance status, key issues, remediation actions and governance risks.
  • Advise business units on compliance best practices, emerging regulatory changes and help embed a culture of governance in the start‐up’s growth journey.

Key Requirements

  • Bachelor’s or Master’s degree in Marketing, Communications, Media, or related field.
  • Bachelor’s degree in Law, Commerce, Finance or equivalent. A Company Secretary (CS) qualification or part‐qualifications would be a major plus.
  • 3 to 6 years of relevant experience—preferably in a start‐up, digital media, technology or regulated corporate‐governance environment.
  • Strong working knowledge of Indian corporate law (Companies Act & rules), secretarial filings, ROC processes, FEMA / RBI compliance, etc.
  • Comfortable drafting and reviewing commercial contracts and legal documents—ability to assess commercial risk and guide business accordingly.
  • Excellent organisational, documentation and process‐oriented skills. High attention to detail.
  • Good communication skills (both written & verbal) and ability to work collaboratively cross‐ functionally (finance, legal, business, external advisors).
