Whenever a publisher deposits any amount of money on our marketplace, NewsReach will convert the following amount into NR Coins. As per laws and regulations, NewsReach is liable to deduct 18% GST on any deposits we receive.
Following are the examples based on the metrics for 1 NR coin= Rs 1
Example 1: A publisher requested a purchase of 10,000 NR coins; Rs 11,800 will be charged where Rs 1,800 is 18% GST on initial purchase for Rs 10,000.
Example 2: A publisher has requested to buy NR coins for Rs 10,000, they will receive 8,475 NR coins as 18% GST will be charged on Rs 8,475 which is Rs 1,525.5 which adds up to the initial principal amount Rs 10,000.

Any form of content that is sold through the NewsReach Marketplace platform; Under, the section 194C 1% TDS will be deducted automatically. However, if withdrawal is made without KYC verification 5% TDS will be deducted automatically.
Under the following circumstances TDS will not be deducted:
If NewsReach and Content Creators make a contract where they make a deal where Content Creators have to publish X number of content on NewsReach Marketplace platform, Under the section 194C TDS of 1% will be deducted from Individuals and/or HUF. However, if Content Creators fall under the category of other than Individuals or HUF, NewsReach will deduct 2% TDS Under the Section 194C.
Under the circumstances where Content Creator makes a withdrawal from our portal, NewsReach will deduct TDS of 1% under the GST Act.

Vyomeen Media Pvt. Ltd. (“Vyomeen”) a company incorporated under the Companies Act, 2013 is the owner of NewsReach, a marketplace intermediary incorporated for sale and license of third party licensed content including text, image, video, audio and data formats. NewsReach marketplace is an intermediary platform for buying/selling/leasing of news and current affairs content wherein a publisher for a fee can purchase/license content directly from the content contributors.
The following Content License Agreement & Terms of Service (the “Agreement”) is a legally binding, exclusive agreement between you (the “Assignor”) and Vyomeen (each a “Party” and, collectively, the “Parties”). Please read the terms of this agreement carefully and be sure you fully understand it before agreeing to the terms and conditions. The Agreement describes and controls your legal relationship with Vyomeen, the rights you are granting to Vyomeen in any Content that is submitted to Vyomeen, or uploaded by you to the News Reach marketplace, and the uses Vyomeen may make of the Content.

Vyomeen has the right to remove any Content uploaded for sale by Assignor, without notice on the receipt of complaint/ cease and desist notice/ order of court or competent authority or otherwise being violative in nature or affecting any law time being in force.
3. Modus Operandi
The independent contractor/ reporter/ assignor who wishes to sell/assign any form of original content on the NewsReach Marketplace shall first sign up on the website (https://mp.newsreach.in) and furnish all details required for successful completion of registration.
The independent contractor/ reporter/ assignor shall be responsible for the veracity of all the details furnished and as such Vyomeen (NewsReach) shall not be liable for any incorrect information provided by you.
Upon successful registration, you shall be granted access to the NewsReach Marketplace being an intermediary for facilitation of sale/assignment/licence of your copyrighted content to third parties.
You may submit any content you so desire to the NewsReach Marketplace. You agree that upon submission of content you are bound by these terms of Agreement and are prohibited to deal with or exploit your content in any manner whatsoever thereby effectively granting Vyomeen an exclusive right as per this Agreement.
You are bound to follow the requirements of this agreement with respect to the content submitted by you. On failure to do so, your content may be removed from the NewsReach Marketplace and may result into your account deletion/ suspension until the issue is resolved.
Likewise, if any content post sale/assignment/ license/ transfer to the third party users is found to infringe or violate any law in any manner whatsoever or a complaint is received in this regard, you shall be liable for breach and consideration paid by such third party user shall be refunded to them. Your account in this case shall be removed or suspended until the issue is resolved.
4. License Grant.
Assignor hereby grants Vyomeen an non-exclusive, worldwide, non-transferable, perpetual licence to use, market, make available, distribute, sell, transmit, store and archive the Licensed Content via the Services and Third Party Services, as well as to act as a collective rights management organisation on behalf of Assignor, by collecting royalties and fees associated with the copying, usage, re-distribution, or re-publishing of the Licensed Content worldwide.
Assignor understands that by granting Vyomeen these rights, Vyomeen is not necessarily obliged to use, market, make available, distribute or sell any and all of the Licensed Content provided by Assignor, or to display your name, company name, trademarks on the Services, or in connection with Vyomeen’s marketing activities.
Assignor is deemed to grant an exclusive licence to Vyomeen upon uploading physically or online through the NewsReach Marketplace and shall be refrained to exploit or otherwise deal with the content with any third party.
5. Releases
Assignor agrees to provide valid and accurate model releases to Vyomeen, for all Content submitted to Vyomeen by Assignor.
Assignor agrees that Vyomeen can share the submitted content or releases provided by Assignor with its customers, if and when requested by any customer.
Any releases required and obtained by Assignor shall be uploaded to NewsReach Marketplace or otherwise delivered to Vyomeen in electronic form, along with the Content.
Content without a release that depicts an identifiable person and/or requires a property release, will likely only be offered via the Services or Third Party Services to customers for editorial use only and not for advertising or other commercial use, which will limit the sales potential of the Content. The Assignor is bound to disclose if any such content is without release.
Assignor agrees that any Content submitted and designated by Assignor for “Editorial Use Only” on NewsReach Marketplace may be used for advertising or other commercial use where Vyomeen’s customers obtain the required releases, along with any other clearances.
In the event that Vyomeen determines that Assignor has submitted any falsified, inaccurate or otherwise defective model or property releases, this will be deemed as a material breach of this Agreement.
Vyomeen reserves the right to suspend the account of the Assignor in this case and in case a complaint/ cease and desist/ any other notice claiming that the content so submitted by the assignor is infringing any right or is against the Intermediary Guidelines or any other law in the Republic of India.
6. Ownership.
All Licensed Content shall remain the property of Assignor or the copyright owner. Other than the rights granted hereunder, Vyomeen shall have no right, title, or interest in or to any Licensed Content.
7. Consideration
Vyomeen shall pay royalties or fees to Assignor according to the following terms:
Vyomeen shall pay to the Assignor within 07 days the amount received through sale/assignment/ license of the content after deducting % being the listing fees/ commission charged by Vyomeen for the services. Taxes, if any, shall be applicable.
If Assignor’s account is terminated/ suspended for a material breach of any of the terms of this Agreement, Vyomeen shall have the right to retain any royalties and/or other compensation otherwise payable to Assignor hereunder as liquidated damages.
Assignor acknowledges that all and any liability with respect to any taxes applicable on the aforementioned consideration or incidental to any consideration received for under this agreement shall be borne by the Assignor.
8. Term & Termination.
This Agreement becomes effective when Assignor uploads any Content to NewsReach Marketplace (the “Effective Date”) and the term of this Agreement shall be ongoing until such time that either Vyomeen or Assignor terminates the Assignor’s NewsReach Marketplace account (the “Term”).
Vyomeen will terminate Assignor’s account no later than ninety (90) days following receipt of a written request from Assignor to close your NewsReach Marketplace. These requests should be emailed to: help@newsreach.in
Either Party may terminate this Agreement if the other party materially breaches any provision of this Agreement, provided that
Either Party may terminate this Agreement and the licence granted herein at any time by written notice to the other Party in the event that the other Party
Effective immediately upon termination of the Agreement, Vyomeen shall have the right to store on its server or otherwise for 6 months following the effective date of such termination, the Licensed Content in compliance of Intermediary Rules time being in force.
This clause shall not affect the right of Vyomeen to temporarily suspend the account of Assignor without notice in case any complaint/ cease and desist notice/ court order or otherwise is received by Vyomeen against any content submitted or false and incorrect information is provided by you. The suspension or removal shall be in force until the issue so created is resolved.
9. Marketing and promotion
Assignor acknowledges that as part of the licence granted in this Agreement, the Assignor grants Vyomeen a royalty-free right to promote and market the Licensed Content. This can include enabling the Licensed Content, for a limited period of time, in a non-commercial environment, within the Services or any Third Party Services, for the sole purpose of marketing the Licensed Content to potential new customers for the Licensed Content.
Each Party acknowledges and agrees for all purposes that all Intellectual Property Rights associated with the other Party or the other Party’s services, products, literature, promotional materials or otherwise, whether or not registered, constitute the other Party’s exclusive property. Vyomeen will be responsible for the creation, implementation and fulfilment of the marketing and promotional material. The Assignor agrees and grants Vyomeen an exclusive, transferable, royalty-free licence such that Vyomeen shall be entitled to use the Licensed Content and Assignor’s trademarks, trade names, service marks, logos, program title, character names, and other intellectual property in connection with the marketing and promotion of the Licensed Content.
10. Notice.
Any notice, approval, request, authorization, direction or other communication under this Agreement will be given in writing and will be deemed to have been delivered and given for all purposes
In the case of Assignor, such notice will be provided to the Assignor via the email address of Assignor, Inbox message of the Assignors Account, Whatsapp, Text message or any other electronic method.
11. Confidentiality.
The Parties acknowledge that the existence and the terms of this Agreement and any oral or written information exchanged between the Parties in connection with the preparation and performance of this Agreement are regarded as confidential information.
Each Party shall maintain confidentiality of all such confidential information, and without obtaining the written consent of the other Party, it shall not disclose any relevant confidential information to any third parties, except for the information that:
Disclosure of any confidential information by the staff members or agencies hired by any Party shall be deemed disclosure of such confidential information by such Party, which Party shall be held liable for breach of this Agreement. This Section shall survive the termination of this Agreement for any reason.
12. Entire Agreement
This Agreement sets forth the entire agreement and supersedes any and all prior agreements of the Parties with respect to the transactions set forth herein.
13. Treatment of Claims
The Assignor agrees and is bound not to host, display, upload, modify, publish, transmit, store, update or share any information/ content that,
The Assignor agrees and accepts the conditions in Clause 12 above and shall be liable for any resultant damages caused from breach thereof which may also result in suspension or deletion of account.
14. Indemnity.
Assignor shall defend, indemnify, save and hold harmless Vyomeen and its officers and directors from any and all third party claims, demands, liabilities, costs or expenses, including reasonable attorneys’ fees (“Liabilities”) arising from or related to the Licensed Content and/or Vyomeen’s use of the Licensed Content in the NewsReach Marketplace or otherwise.
15. Assignment.
Assignor shall not assign this Agreement or any right, interest or benefit under this Agreement without the prior written consent of Vyomeen. Subject to the foregoing, this Agreement shall be fully binding upon, inure to the benefit of and be enforceable by the Parties hereto and their respective successors and assigns.
16. Third Party Rights.
This Agreement is made solely for the benefit of the Parties to it and is not intended to benefit, or be enforceable by, any other person.
17. Waiver.
A variation of this Agreement shall be in writing and signed by or on behalf of both Parties. A waiver of any right under this licence is only effective if it is in writing and it applies only to the Party to whom the waiver is addressed and the circumstances for which it is given. No waiver shall be implied by taking or failing to take any other action.
18. Severance.
If any provision (or part of a provision) of this Agreement is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions shall remain in force. If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were deleted, the provision shall apply with whatever modification is necessary to give effect to the commercial intention of the Parties.
19. Applicable Law.
This Agreement shall be interpreted, construed and enforced in all respects in accordance with the laws of the Republic of India. Each Party irrevocably submits to the nonexclusive jurisdiction of the courts of Mumbai in connection with any action to enforce the provisions of this Agreement, to recover damages or other relief for breach or default under this Agreement, or otherwise arising out of or in connection with this Agreement.
20. Dispute Resolution
Any claim, dispute or difference relating to or arising out of this Agreement shall be referred to the arbitration of a sole arbitrator. The arbitration shall be subject to the Arbitration and Conciliation Act, 1996 as may be amended from time to time. The seat and venue of arbitration shall be Delhi. The proceedings shall be undertaken in English. The arbitration award shall be final and binding on the parties.
21. Electronic Communications.
You agree and consent to receive all communications, agreements, documents, notices and disclosures that Vyomeen provides in connection with your Content and your account. Communications include agreements and policies you agree to, updates to these agreements or policies, account statements, tax statements, and any other information relating to your Content and your Account. Vyomeen will provide communications to you by posting them on Vyomeen’s owned and operated websites or by email at the primary email address on file in your NewsReach Marketplace Account.
22. Modifications.
Changes to NewsReach Marketplace (platform) may occur at any time, which may result in a revision of the terms of this Agreement. If and when there are any revisions to the Agreement, Vyomeen will publish the updated Agreement on the NewsReach Marketplace platform and the revised Agreement will become effective immediately. For this reason, please visit this page on a regular basis and check the “Last Updated” date at the top of this Agreement to ensure that you are familiar with the most recent version of the terms of this Agreement. Your continued use of NewsReach Marketplace after the effective date of any revisions signifies your acceptance of any such revisions.
By submitting any Content to Vyomeen or NewsReach Marketplace, you agree to be bound by the terms of this Agreement.

INTRODUCTION
Vyomeen Media Pvt. Ltd. owns and operates NewsReach Marketplace (https://mp.newsreach.in), an advance content marketplace and a research database for live and archived aggregated third-party licensed content, including text, image, graphics, video, audio and data formats, in multiple languages.
NewsReach Marketplace offers its users both free and paid-for content. Content marketplace users, who are typically publishers, broadcasters, agencies, brands and media monitoring organisations (hereafter “Marketplace Users”) can access, search for and acquire an instant license, or a subscription, to download, re-use, or re-publish the content that is made available in NewsReach Marketplace.
The NewsReach Marketplace service is typically used by employees or who are typically in the following roles: Account Managers, Art Buyers, Art Directors, Content Marketers, Creative Directors, Deputy Editors, Designers, Due Diligence Professionals, Editors, Financial Professionals, Freelance Photo Researchers, Individuals, Information Professionals, Librarians, Media Monitoring Organisations, Online Editors, Photo Editors, Photo Researchers, Producers, Program Directors, Publishers, Researchers and Social Media Content Creators.

USER TERMS
These NewsReach Marketplace Terms of Use (hereafter “User Terms”) constitute a fully binding agreement (hereafter “the Agreement”) between You (“You” “Your”) and Vyomeen Media Pvt. Ltd. (hereafter “NewsReach Marketplace”) (each a “Party” and, collectively, the “Parties”) and, collectively, with its affiliates, parents, subsidiaries and each of their respective trustees, directors, officers, shareholders, members, employees, advisors, representatives, subcontractors, consultants, attorneys, agents, suppliers, distributors, licensees and/or licensors, or anyone acting on their behalf (“Company” “We”, “Us” or “Our”). We are a licensee of the Licensed Content that gets made available within NewsReach Marketplace platform and the proprietor of all rights in and to the NewsReach Marketplace service (e.g. content curation, content performance analytics etc.), the NewsReach Marketplace platform (collectively hereafter “NewsReach Marketplace”). These User Terms include, but are not limited to, any and all Products and Services offered by Us relating to the NewsReach Marketplace Platform, including, but not limited to, any information downloaded or obtained from the website (including all communications and interactions with the Company and any actions taken with respect to any of Company’s publications or written materials).

– Post any Content containing copyrighted materials, or materials protected by other intellectual property laws, that You do not own;
– Post any Content for which You have not obtained all necessary written permissions and releases; – Misrepresent any fact (including without limitation Your identity or age):
– Post any software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, including by engaging in any denial of service attack or similar conduct;
– Exceed Your authorized access to any portion of the NewsReach Marketplace;
– Collect or store personal data about anyone;
– Modify without written permission from Vyomeen Media Pvt. Ltd. any part of the NewsReach Marketplace;
– Obtain or attempt to access or otherwise obtain any Content, Licensed Content, or information through any means not intentionally made available or provided for through the NewsReach Marketplace;
– Exploit errors in design, features and/or bugs which are not documented in order to gain access that would otherwise not be available; – Use any robot, spider, scraper, or other automated means to access the NewsReach Marketplace for any purpose;
– Knowingly and/or maliciously make false claims or assertions;
– Take any action that imposes, or may impose, an unreasonable or disproportionately large load on our infrastructure; or
– Interfere or attempt to interfere with the proper working of or activities conducted on the NewsReach Marketplace, or bypass any measures We may use to prevent or restrict access to the NewsReach Marketplace.
– unless specifically authorized by Us, submit Content of a commercial nature (including advertising), including but not limited to (i) offering to third parties a service of Your own or Your employer that uses the NewsReach Marketplace; (ii) reselling, or offering to rent or lease the NewsReach Marketplace; (iii) offering the NewsReach Marketplace to the public via communication or integrate it within a service of Your own or of Your employer, without Our prior written consent;
– hack, attack, copy or alter any Content or Licensed Content on the NewsReach Marketplace or obtain, or attempt to gain, unauthorized access to the NewsReach Marketplace and/or other computer systems, materials, information or any Licensed Content available on or through the NewsReach Marketplace through any means, including through means not intentionally made publicly available or provided through the NewsReach Marketplace;
– engage in any automatic or unauthorized means of accessing, logging-in or registering in connection with the NewsReach Marketplace, or obtaining lists of NewsReach Marketplace Users or other information from or through the NewsReach Marketplace, including any information residing on any server or database connected to the NewsReach Marketplace;
– use the NewsReach Marketplace or any of its Content or Licensed Content in any manner that could interrupt, damage, disable, overburden and/or impair the NewsReach Marketplace or interfere with any other User’s use and enjoyment of the NewsReach Marketplace, including, but not limited to, sending chain letters, pyramid schemes, mass unsolicited messages or “flooding” servers;
– engage in flooding, harvesting of email addresses or other personal information, spidering, “screen scraping,” “database scraping,” or any other activity whose purpose is to obtain lists of NewsReach Marketplace Users, their personally identifiable information and/or any other information We maintain about NewsReach Marketplace Users of the NewsReach Marketplace;
– remove, obscure or change any copyright, trademark, hyperlink or other proprietary rights notices contained in or on the NewsReach Marketplace or any of its Content, Licensed Content, or any code embedded in or on Our NewsReach Marketplace or on a third-party website or application, and/or Our software or any software on any third-party website or application;
– submit any Content to the NewsReach Marketplace or on any third-party website or application that falsely expresses or implies that Content is sponsored or endorsed by Vyomeen Media Pvt. Ltd. ;
– use the NewsReach Marketplace or any of Our Content or Licensed Content in violation of Vyomeen Media Pvt. Ltd. ’s intellectual property (including but not limited to patent, copyright and trademark) or other proprietary or legal rights or those of any third-party;
– use the NewsReach Marketplace to violate the security of any computer network or transfer or store illegal material;
– use false information or impersonate any person or entity or misrepresent Your affiliation with any other person or entity, whether actual or fictitious, including any User or any person or entity otherwise affiliated with Vyomeen Media Pvt. Ltd. ;
– post, upload, transmit, publish, reproduce or otherwise disseminate through any Content that We determine in Our sole discretion: (i) is unlawful, harmful, harassing, offensive, fraudulent, threatening, abusive, libellous, defamatory, invasive of privacy, vulgar, obscene, hateful, or otherwise infringes Our or any third-party’s intellectual property or other rights; (ii) is derogatory or harmful to Vyomeen Media Pvt. Ltd. ’s reputation or that of any Affiliated Parties; (iii) is harmful to children in any manner; (iv) seeks to or discriminates against any individual based on race, gender, gender identity, ethnicity, religion, occupation, political view, socioeconomic class, national origin, sexual preference, physical or mental handicap or on any other basis; (v) poses a risk to a person’s safety, security or health; (vi) personally identifies any other person without obtaining such person’s express written consent to the disclosure of his or her personal information, and/or (vii) encourages criminal behaviour or conduct that would constitute a criminal offense under any law, or could give rise to civil liability or other lawsuit;
– use an inappropriate username or screen name;
– use tools which anonymize Your Internet Protocol address to access Our NewsReach Marketplace;
– attempt (or encourage or support anyone else’s attempt) to circumvent, reverse-engineer, decrypt, or otherwise alter or interfere with the NewsReach Marketplace or any of its Content or Licensed Content; or modify, adapt, disassemble, decompile, translate, reverse engineer or otherwise attempt to discover the source code or structure, sequence and/or organization of the NewsReach Marketplace or any portion of the NewsReach Marketplace, except where required by applicable local law(s), and then only to the extent required by such local law(s);
– submit false or misleading information to Vyomeen Media Pvt. Ltd. ;
– violate the intellectual property, contractual, personal or other rights of any individual or entity, or promote or constitute illegal activity;
– violate any of these User Terms, Our Privacy Policy, or any local, state, provincial, federal, national or international law, rule or regulation or any rules of conduct posted with respect to any individual feature of Our NewsReach Marketplace or that of any third-party to whose website or application We link;
– seek to use or actually use the personally identifiable information of any User, any third-party or any individual associated with Vyomeen Media Pvt. Ltd. in any manner not approved in writing in advance by that individual;
– mislead, defraud or trick Vyomeen Media Pvt. Ltd. or any NewsReach Marketplace Users, especially if You are seeking to learn sensitive information about NewsReach Marketplace Users or their accounts, including usernames, passwords and/or personally identifiable information;
– transmit, disseminate or use any spam, malware, viruses, worms, Trojan horses, RATs, keyboard loggers, time bombs, spyware, adware, cancelbots, passive collection mechanisms, or other objectionable materials, or any other malicious or invasive code, or program or upload or transmit (or attempt to do so on Your own or by or through any third-party on Your behalf) any material that acts as a passive or active information collection or transmission mechanism, including but not limited to, clear graphics interchange formats, pixels, web bugs, cookies or similar devices;
– other than as the result of standard search engine or Internet browser usage, use or launch, develop or distribute any automated system, including, but not limited to, any spider, robot, bot, cheat utility, scraper or off-line reader that accesses the NewsReach Marketplace, or use or launch any unauthorized script or other software;
– knowingly or maliciously make false claims about anyone or report instances or behaviour that never took place (the making of a false report can lead to discipline, including termination of Your employment, and other serious consequences);
– obscure or cover any notice, banner, advertisement or other branding in or on the NewsReach Marketplace; and/or
– circumvent, interfere with or seek to interrupt or disturb any security feature of the NewsReach Marketplace and/or any feature that restricts or enforces limitations on the use of or access to the NewsReach Marketplace.

I. Third-Party Websites/Applications
J.A. Introduction:
The NewsReach Marketplace offers NewsReach Marketplace Users both free and paid-for Licensed Content. Marketplace Users, including but not limited to publishers, broadcasters, agencies, brands and media monitoring organisations can access, search for and acquire an instant license, to use, or re-publish the Licensed Content that is made available in NewsReach Marketplace. Or, Database Users, including but not limited to financial professionals, information professionals, librarians and researchers can access, search for and view both live and archived Content for research purposes only. Access for these Database Users is restricted to only viewing the Content available within the database and it may not be republished or otherwise distributed outside of the User’s organisation.
Free: Where a User does not need to pay any fees to access and re-use certain Licensed Content, but must adhere to any special re-use terms and conditions displayed by the original Licensed Content provider, as provided in the relevant License Agreement as displayed on the Licensed Content order page.
Pay-Per-Use: Where a User pays a fixed fee for individual Licensed Content items, or hours of programming. Prices per content item vary depending on content provider and rights required.
Monthly Subscription: Where a User pays a fixed ongoing licensing fee for use of a specific Licensed Content service.
Discounted Content Package: Where a User pays a fixed fee for a set number of content items from a single Licensed Content service, to be used at any time
Bundled Content Package: Where a User pays a fixed fee for a set number of content items from multiple Licensed Content services.

Marketplace Users are permitted to translate the Licensed Content before re-publishing or otherwise re-using the Licensed Content, unless any special re-use terms and conditions displayed by the original Licensed Content provider prohibit translation, as provided in the relevant License Agreement as displayed on the order page. Therefore, We strongly advise that NewsReach Marketplace Users always review the Terms & Conditions that are displayed on every order page (look for “I have read and agree to the Terms & Conditions for using this content”), to which NewsReach Marketplace Users must agree to.
Database Users may not (without prior written consent from Vyomeen Media Pvt. Ltd.):
Unless indicated otherwise,Vyomeen Media Pvt. Ltd. cannot guarantee that all of the photos or images that are associated with the Licensed Content in the NewsReach Marketplace are rights-cleared and available for re-publishing, or other re-use, without prior permission from the owner or creator of the photo or image.
Unless indicated otherwise, it is the responsibility of the NewsReach Marketplace User to ensure that the necessary rights are in place to re-publish, or otherwise re-use each photo or image within the NewsReach Marketplace.
Vyomeen Media Pvt. Ltd. does not accept any responsibility where the re-publishing or re-use of non-licensed photos or images infringes on any intellectual property right of a third-party or any other third- party right.
The NewsReach Marketplace User shall defend, indemnify, save and hold harmless Vyomeen Media Pvt. Ltd. and its officers and directors from any and all third-party claims, demands, liabilities, costs or expenses, including reasonable attorneys’ fees arising from or related to the use of non-licensed photos or images.
NewsReach Marketplace Users are not permitted to copy, or download any photographs, graphics, or other images that are associated with an article made available for licensing within Vyomeen Media Pvt. Ltd. and go on to use these images elsewhere, or associate these images with other content. However, NewsReach Marketplace Users are permitted to replace images within articles, where the image is not suitable (unless any special re-use terms and conditions displayed by the original Licensed Content provider, as provided in the relevant License Agreement, as displayed on the order page, specifically prohibit this type of image swapping activity).
J.B. Billing, Payments, Usage Limits and Credits:
When a NewsReach Marketplace User orders, downloads or copies Licensed Content from the NewsReach Marketplace, unless the Licensed Content is marked as ‘Free’, the User will be billed for the Content, regardless of whether or not actual use of the Content occurs.
Any Licensed Content which is subject to a fee, will require payment of that amount in accord with the User Terms of the Service.
Vyomeen Media Pvt. Ltd. offers both prepay and postpay Accounts to approved NewsReach Marketplace Users and the Licensed Content can be purchased using a credit card, bank-to-bank wire transfer, or other approved means of electronic payment.
When a User orders, downloads, or copies Content from the NewsReach Marketplace, that download will count towards any daily, weekly or monthly limits set by Vyomeen Media Pvt. Ltd. concerning the Licensed Content volume permitted;
Furthermore, when a User orders, downloads, or copies Licensed Content from the NewsReach Marketplace, that download will count towards any allocated credits, where the Licensed Content is sold as part of a package of Licensed Content credits. Any monthly credits allocated to a User as part of Bundled Content Package do not roll over to the next month where a User does not redeem all of the allocated credits in any given month.
Content Provider Credit & Attribution:
When re-publishing or otherwise re-using the Licensed Content, NewsReach Marketplace Users must give credit to the original content provider, adjacent to, or within the Licensed Content being re-published or otherwise re-used and must at least include the source name and acknowledge the intellectual property rights associated with that Licensed Content. All Licensed Content within the NewsReach Marketplace displays and offers the User the original content provider’s name, a downloadable logo, as well as the copyright notice. NewsReach Marketplace Users may use one or more of these Licensed Content provider credit elements when re-publishing or otherwise re-using the Licensed Content. And unless otherwise specified, NewsReach Marketplace Users must also preserve any content provider watermarks within the Licensed Content (e.g. within a video or a documentary). If the User fails to give the appropriate credit to the original Licensed Content provider, this may result in access to the affected Licensed Content service being removed from the User’s account.
J.D. Content Provider Branding Guidelines:
When re-publishing or otherwise re-using the Licensed Content, NewsReach Marketplace Users must adhere to any special branding guidelines displayed by the original Licensed Content provider as provided in the relevant License Agreement as displayed on the Licensed Content order page. Failure to adhere to any special branding guidelines displayed by the original Licensed Content provider may result in access to the affected Licensed Content service being removed from the User’s account.
Free Content:
Vyomeen Media Pvt. Ltd. offers NewsReach Marketplace Users certain Free Content, including but not limited to words, images, video and music, that is detailed as “FREE TO USE OR RE-PUBLISH” on the NewsReach Marketplace. This is generally content that Vyomeen Media Pvt. Ltd. aggregates from sources within the public domain, which are not protected by intellectual property laws, or any content with a Creative Commons (CC) license, that enables the free distribution or commercial usage of an otherwise copyrighted “work”.
Where any Free Content on the NewsReach Marketplace is concerned, it is the sole responsibility of the NewsReach Marketplace User to carefully check the current terms and conditions for using the Free Content, which Vyomeen Media Pvt. Ltd. displays, or links to, from the NewsReach Marketplace, before using any of the Free Content.
Vyomeen Media Pvt. Ltd. does not accept any responsibility where the use of Free Content infringes on any intellectual property right of a third-party or any other third-party right. And the NewsReach Marketplace User shall defend, indemnify, save and hold harmless Vyomeen Media Pvt. Ltd. and its officers and directors from any and all third-party claims, demands, liabilities, costs or expenses, including reasonable attorneys’ fees arising from or related to the use of Free Content.
J.2. YOU MAY NOT
J.3. Fees and Non-Payment
J.4. Vyomeen Media Pvt. Ltd.’s Rights and Pricing or Fee Changes
Vyomeen Media Pvt. Ltd. reserves the right to withdraw any Licensed Content at any time at its sole discretion and agrees to extend its best efforts to notify Users of such removal. Upon notification by Us of the withdrawal of any Licensed Content, User agrees to extend its best efforts to remove the withdrawn Licensed Content from any and all of User’s media in which the withdrawn Licensed Content was included, so long as notice is provided by Vyomeen Media Pvt. Ltd. prior to publication. User further agrees to extend its best efforts to immediately remove the withdrawn Licensed Content from all electronically distributed media and to destroy all electronic and physical copies of the withdrawn Licensed Content. We agree to credit User an amount equal to the license fee paid by User to Us for the withdrawn Licensed Content if the Licensed Content is withdrawn prior to publication.
Vyomeen Media Pvt. Ltd. and the providers of the Licensed Content in the NewsReach Marketplace reserve the right to amend its published and non-published fees and the rates at any time. However, any existing subscriptions to Licensed Content within the NewsReach Marketplace will be honoured until the expiry of the subscription.
J.5 Warranty and Disclaimers
Vyomeen Media Pvt. Ltd. warrants that: (i) it has all necessary rights and authority to enter into and perform this Agreement.
At the same time, Vyomeen Media Pvt. Ltd. does not warrant the accuracy of any Licensed Content or that it is suitable for any particular use, publication or distribution.
J.6 User Indemnity.
If User’s use of the Licensed Content is not authorized by these User Terms or any License Agreement which accompanies the Licensed Content, User shall defend, indemnify, and hold Vyomeen Media Pvt. Ltd. and its Affiliated Parties harmless from all damages, liabilities, and expenses (including actual attorneys’ fees and costs), arising out of or connected with any actual or threatened lawsuit, claim, or legal proceeding relating to the use of such Licensed Content by User.
J.7 Unauthorized Use
Any use of Licensed Content in a manner not expressly authorized by these User Terms and/or any License Agreement which accompanies the Licensed Content or in breach of any User Terms and/or any provision of any License Agreement which accompanies the Licensed Content constitutes infringement, entitling Vyomeen Media Pvt. Ltd. to exercise all rights and remedies available to it under relevant laws around the world. Users shall be responsible for any damages resulting from any such infringement, including any claims by a third-party. In addition and without prejudice to Vyomeen Media Pvt. Ltd.’s other remedies under these User Terms. Vyomeen Media Pvt. Ltd. reserves the right to charge and User agrees to pay a fee equal to five (5) times Vyomeen Media Pvt. Ltd.’s normal license fee for unauthorized use of any of the Licensed Content.
J.8 Compliance.
You will not use any Licensed Content downloaded or obtained from Us to contact anyone, process or initiate any transaction, or otherwise engage in any activity that is not reasonably necessary for legitimate business purposes or to comply with applicable law.

Ltd. shall not be liable for any delay or failure in performance under these User Terms and/or Our Privacy Policy or any interruption of service resulting from acts of God, natural disasters, civil or military authority, war, terrorism, labour disputes, materials provided by third parties, changes in law, or any other cause beyond the reasonable control of Vyomeen Media Pvt. Ltd.

You also agree that: (i) the NewsReach Marketplace shall be deemed solely based in the Republic of India; and (ii) the NewsReach Marketplace shall be considered a passive NewsReach Marketplace which does not give rise to personal jurisdiction over Vyomeen Media Pvt. Ltd., either specific or general, in any jurisdiction other than in the Republic of India. Further, You irrevocably submit to the exclusive jurisdiction of, and venue in, the courts in Mumbai, India, in any action or proceeding arising out of these User Terms, Our Privacy Policy, and/or Your access to and use of the NewsReach Marketplace.
X. Limitation of Liability
-Delaying, rejecting, or removing any or all content at any time for any or no reason whatsoever with or without notice to you;
-Modifying or discontinuing temporarily or permanently, the newsreach marketplace (or any part thereof) with or without notice to you for any or no reason whatsoever;
-Immediately terminating your access to the newsreach marketplace for any or no reason whatsoever and with or without notice to you;
-The accuracy, usefulness, or availability of any information posted to or through the newsreach marketplace; and/or
-Any loss or damage of any sort incurred by you as a result of interactions you have with third-parties found on or through the newsreach marketplace.
BINDING ARBITRATION AGREEMENT AND CLASS ACTION / PRIVATE ATTORNEY GENERAL WAIVER DISCLOSURE
Z. Opt-Out Provision
You may elect to opt out (exclude Yourself) from the final, binding arbitration procedure, the class action waiver and/or the private attorney general waiver specified in these User Terms by doing the following. Within 15 days of Your first accessing the NewsReach Marketplace, You must send a letter to Us via email to help@newsreach.in that specifies (1) Your name, (2) Your IP address(es), (3) Your mailing address, and (4) Your request to be excluded from the final, binding arbitration procedure and class action/private attorney general waiver specified in these User Terms. All other User Terms shall continue to apply to You and Your Account, including the requirement to participate in pre-dispute mediation. You are not required to send the letter by certified mail, return receipt requested or overnight courier, but it is recommended that You do so. Your request to be excluded will only be effective and enforceable if You can prove the request was postmarked within the applicable 15-day deadline.

You may not assign or transfer Your rights in and to the NewsReach Marketplace or any of its Licensed Content, without the prior written consent of Vyomeen Media Pvt. Ltd.. Vyomeen Media Pvt. Ltd. may assign its rights in and to the NewsReach Marketplace to a third-party at its sole and absolute discretion. Likewise, these User Terms and the rights, benefits and obligations contained herein are fully assignable by Vyomeen Media Pvt. Ltd. and will be binding upon and in sure to the benefit of Vyomeen Media Pvt. Ltd.’s successors and assigns.
CC. Waiver
Our failure to exercise or enforce any rights or provisions of these User Terms shall not be deemed nor constitute a waiver or relinquishment of such rights or provisions. Any waiver of any right or provision of these User Terms must be in writing.
DD. Severability
If any part of these User Terms is determined to be invalid or unenforceable under applicable law, including the warranty disclaimers and liability limitations stated elsewhere herein, then the invalid or unenforceable provision(s) will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision(s), and the remainder of these User Terms shall continue in full effect.

A printed version of these User Terms and Our Privacy Policy and of any notice given in electronic form shall be admissible in any and all judicial or administrative proceedings based upon or relating to these User Terms and/or Our Privacy Policy to the same extent as other business documents and records originally generated and maintained in printed form.

These User Terms and Your use of the NewsReach Marketplace does not, and shall not be construed as creating any relationship, partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship in any way and/or of any kind between the parties hereto. Your use of the NewsReach Marketplace is intended so that You may use our Products and Services as described elsewhere herein, and the provision of the NewsReach Marketplace to You (subject to Your compliance with these User Terms and Our Privacy Policy) constitutes the sole and sufficient consideration that You are entitled to receive for any Content or other contributions You have made to Vyomeen Media Pvt. Ltd. and Our Products and Our Services.

The herein contained License Agreement (“License” or “EULA”) shall be considered a legally binding agreement between You (as an individual or an entity, who then shall, within the constraints of this agreement, be referred to as “You” or “Your”) and Vyomeen Media Pvt. Ltd. for the use of the specified website of NewsReach Marketplace , which may include related printed material, media and any other components and/or software modules, including but not limited to required drivers (“Product”). Other aspects of the Product may also include, but are not limited to, software updates and any upgrades necessary that NewsReach Marketplace may supply to You or make available to You, or that You could obtain after the initial copy of the Product, and as such that said items are not accompanied by a separate license agreement or terms of use.
By way of the installation, copying, downloading, accessing or otherwise use of this product, you are agreeing to be legally bound by the herein contained terms of this license agreement. If you do not agree to be bound by the terms of this eula, you then have no rights to the product and should therefore not install, copy, download, access nor use the product.
This Product is hereby protected by copyright laws, as well as any other intellectual property laws. This Product is licensed and not sold.
License Grant
Vyomeen Media Pvt. Ltd. shall grant to you a non-exclusive license for the use of the Product subject to all the terms and conditions set forth herein. Furthermore, this EULA shall also govern any and all software upgrades provided by Vyomeen Media Pvt. Ltd. that would replace, over write and/or supplement the original installed version of the Product, unless those other upgrades are covered under a separate license, at which those terms of that license will govern.
Termination
Should you breach this EULA at any time, your right to the use of the Product will then immediately terminate and shall terminate without any notice being given. However, all provisions of this EULA, with the exception of the License Grant , will remain in effect and thus shall survive termination.
Copyright
The aforementioned Product is protected by copyright and other intellectual property laws and treaties, and as such all rights, title, and interest in and to the content offered, including but not limited to, any photographs, images, video animation, text, and music, that may be incorporated as part of the offered content. Such offered content is protected by copyright laws and international treaty provisions. Therefore, offered content must be treated as any other copyrighted material, with the exception that it is allowable for you to make copies as provided by the License. However, printed material, which may accompany any offered content, may not be copied.
Restrictions of Use
As a Licensee, You may not:
Updates
Vyomeen Media Pvt. Ltd. may find the need from time to time to make available to all license holders updates for the offered content, in accordance with the herein contained terms and conditions of this EULA. It shall be at the sole discretion of Vyomeen Media Pvt. Ltd. to make conditional releases of said upgrade to you upon your acceptance of another EULA or execution of another separate agreement. Should you elect to install and make use of these updates, you are therefore agreeing to be subject to all applicable license, terms and conditions of this EULA and/or any other agreement.
Disclaimer Of Warranty
With regard and with relationship to the maximum extent permitted by applicable law, vyomeen media pvt. Ltd., and, if applicable, related suppliers, shall provide the product and any support services, if needed, related to the product, and hereunto disclaim all warranties and conditions, either express, implied or statutory, which may include, but are not limited to, any implied warranties or conditions of merchantability, of suitability for a specified purpose, that it contains absolute accuracy or completeness of responses, of results, and of any lack of negligence or lack of workmanlike effort, all with respect to the product, and the provision of or failure to provide support services. Furthermore, there is no warranty or condition of title, quiet enjoyment, quiet possession, or non-infringement with regards to the herein contained product. The entire risk as to the quality of or performance of the product and support services, if any, rest with you.
Limitation of liability and remedies
In spite of any damages that you may or may not incur for any reason, which may include, but are not limited to, any and all direct or general damages, the entire liability of Vyomeen Media Pvt. Ltd. and/or any of the aforementioned suppliers covered under the herein contained provisions of this EULA, along with Your exclusive remedy with regards to all of the foregoing, shall hereby be limited to the amount actually paid by you for this Product . Therefore, the aforementioned limitations, exclusions and any disclaimers shall apply to the maximum extent allowable by law, even should any proposed remedy fail its essential purpose.
Miscellaneous
This EULA, in its entirety, shall be legally binding upon and inure to the benefit of Vyomeen Media Pvt. Ltd. and you, our respective successors and permitted assigns. Should any of this provision be deemed invalid or unenforceable, such determination will not affect the validity or enforceability of any other provision contained herein. If there is any waiver of any breach or failure to enforce any of the provisions contained herein, it shall not be deemed as a future waiver of said terms or a waiver of any other provision of this EULA. Any waiver, supplementation, modification or amendment to any provision of this EULA, shall only be effective when done so in writing and signed off by Vyomeen Media Pvt. Ltd. and you. This EULA shall be governed solely by the law in the Republic of India. Should any action arise out of or in relation to this EULA, such action may be brought exclusively in the appropriate state court, you and Vyomeen Media Pvt. Ltd.irrevocably consented to Delhi as jurisdiction.
People use NewsReach Marketplace to buy/sell/license content on a daily basis. It is a platform to create a content ecosystem where content contributors can sell their authentic and original content to reputed publication houses. The platform encourages the content contributor to publish in their native language to promote hyper local content.
NewsReach understands the importance of people’s voices and we take our role as an intermediary in keeping any kind of inappropriate content off the platform. That’s why we have developed standards of what is and isn’t allowed on the platform.
These standards are created keeping in mind the people’s feedback to keep the quality of content being uploaded on the marketplace 100% authentic and original. To ensure everyone’s voice is valued, we take great care to create standards that include different views and beliefs, especially from people and communities that might otherwise be overlooked or marginalized.
Our goal is to create one of its kind content ecosystem. The standards are created keeping in mind that no voices are neglected, even if some may disagree or find them objectionable. However, certain types of content may be allowed to be hosted in public interest on a case to case basis. We do this only after weighing the public interest value against the risk of harm, and we look to human rights standards to make these judgments.

While we understand that people commonly express disdain or disagreement by threatening or calling for violence in non-serious ways, we remove language that incites or facilitates serious violence. Vyomeen Media Private Limited (henceforth referred to as ‘NewsReach’), the owner of NewsReach Marketplace with website address https://mp.newsreach.in, has launched ‘NR Wallet’, a digital closed-loop PPI(prepaid payment instrument), for the benefit of its users in order to facilitate easy and convenient payments.
Registration is open to all customers who satisfy all of the following criteria:
New users or first-time users of NR Wallet services will be required to register on the NewsReach Marketplace website by providing details such as Full Name, Email Id and Mobile Number. Users who have met the requirements stated above will be sent an OTP(one-time password) on their Registered Mobile Number(RMN) to complete the registration process for NR Wallet. The user is required to log in through the website (https://mp.newsreach.in) to use the NR Wallet.
In certain cases, where NewsReach accepts refund requests, users are required to fill & submit an online form to complete the NR Wallet KYC process. The NewsReach team will verify the submitted details against the details on record with NewsReach for the same customer, to successfully complete the KYC Process.
NewsReach does not charge any additional fees for loading money or spending money through the NR Wallet. No interest is paid on the wallet account balance. Wallet transaction limits

Non transferability of NR Wallet
Users, at their discretion, can request for closure of NR wallet accounts. For initiating such a request, the customer is required to contact NewsReach customer care at the number provided below. Customer Care will verify the request and ask for a confirmation message from the RMN prior to processing the request. Any wallet amount balance at the time of closure will be refunded to the source account connected to the NewsReach Marketplace account.
Any amount loaded or reloaded in the NR Wallet has a lifetime validity.
In case of any suspected fraudulent use of the Wallet account, the user is requested to contact our customer care immediately. The account will be held in suspension until the matter is investigated and resolved. No wallet transactions, load or spend are allowed in a suspended account. Users are obligated to use the NR Wallet balance as per the provisions of these T&Cs and other norms prescribed by NewsReach from time to time. Any activity in contravention of such provisions may lead to suspension of the NR wallet account, solely at the discretion of NewsReach.
To prevent misuse, all user requests for change of registered mobile number are handled through our customer care department only. Users are requested to contact customer care at the number provided below. A request for change of RMN requires the user to either provide proof in the form of phone bills for the RMN and the new phone number in the registered name, or confirmation via an OTP sent to the RMN.
Any amount added to the NR Wallet can’t be refunded to the customer in cash or any other form.
NewsReach reserves the right to make changes to the T&Cs governing NR Wallet, at any time through its sole discretion. All terms and conditions are applicable to the extent permitted by law. By continuing usage of NR Wallet, the user agrees to be bound by such changes/revisions of these terms & conditions.
These terms and conditions are governed by the construed in accordance with the laws of India. Users agree to submit to the exclusive jurisdiction of the courts at Delhi. User agrees to indemnify NewsReach for all claims arising out of or in connection with a breach of any of these T&Cs and user’s use of NR wallet balance.
These terms and conditions are between you and NEwsReach. These terms and conditions will supersede all prior proposals and all or any other prior arrangement/agreements. The Licensor hereby grants the Licensee a Perpetual, meaning there is no expiry or end date on your rights to use the content. Worldwide, meaning content can be used in any geographic territory. Unlimited, meaning content can be used an unlimited number of times. Any and all media, meaning content can be used in print, in digital or in any other medium or format. Non-Exclusive, meaning that Publisher does not have exclusive rights to use the content and that the Content Contributor can license the same content to other Publishers as specified herein below (General and Premium), to use, reproduce, create derivative works, distribute, and publicly display and perform the Work and derivative works thereof, in whole or in part, as a separate work or as part of a collective work. The foregoing will apply to all mediums now known or hereafter existing and subject to the limitations set forth herein.For purposes of this agreement, “use” means to copy, reproduce, modify, edit, synchronize, perform, display, broadcast, publish or otherwise make use of.The Type of Licence and the Price of the Content offered by the Licensor shall be displayed on the Product/ Content Page.

THE LICENSOR DOES NOT WARRANT THAT THE LICENSED CONTENT, OR OTHER MATERIALS PROVIDED ALONG WITH THE LICENSED CONTENT, WILL MEET THE LICENSEE’S REQUIREMENTS OR THAT USE WILL BE UNINTERRUPTED OR ERROR-FREE. THE ENTIRE RISK AS TO THE QUALITY, PERFORMANCE AND USE OF THE LICENSED CONTENT AND ITS DELIVERY SYSTEM IS SOLELY WITH THE LICENSEE. UNLESS EXPRESSLY PROVIDED FOR IN THIS AGREEMENT, IN NO EVENT SHALL THE LICENSOR, ITS AFFILIATES, SUBSIDIARIES AND THEIR RESPECTIVE DIRECTORS,EMPLOYEES, AGENTS, MEMBERS BE LIABLE TO THE LICENSEE OR ANY OTHER PERSON OR ENTITY FOR ANY PUNITIVE,SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR ANY OTHER DAMAGES, COSTS OR LOSSES,INCLUDING BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO NEGLIGENCE), COMMON LAW OR OTHERWISE, ARISING OUT OF THIS AGREEMENT, IN ANY WAY CONNECTED WITH THE USE OF THE LICENSED CONTENT, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES OR LIABILITY FOR CERTAIN CATEGORIES OF DAMAGES. IF THAT IS TRUE IN THE LICENSEE’S JURISDICTION, THEN TO THE EXTENT PERMITTED BY LAW, THE LICENSOR LIMITS ITS LIABILITY FOR ANY CLAIMS UNDER THOSE WARRANTIES OR CONDITIONS SUPPLYING YOU THE LICENSED CONTENT AGAIN. WITHOUT LIMITING ANY OTHER TERM HEREIN, THE LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES, COSTS OR LOSSES ARISING AS A RESULT OF MODIFICATIONS MADE TO THE LICENSED CONTENT BY THE LICENSEE OR THE CONTEXT IN WHICH LICENSED CONTENT IS USED IN A LICENSEE WORK.
The Licensor does not warrant the accuracy of the captioning, keywords or any other information associated with the Licensed Content, as well as the
integrity of Editorial Licensed Content.

13. GOVERNING LAWS AND JURISDICTION OF COURTS.
This agreement, its validity and effect, shall be interpreted under and governed by the laws of India and be subject to the exclusive jurisdiction of courts at Mumbai only and all parties consent to the exclusive jurisdiction of those courts, waiving any objection to the propriety or convenience of such venues. The Licensor shall have the right to commence and prosecute any legal or equitable action or proceeding before any court of competent jurisdiction to obtain injunctive or other relief against the Licensee in the event that, in the opinion of the Licensor,such action is necessary or desirable.
